THE FOUNDATION OWNS THE ISRAELI SUBSIDIARY THROUGH A WHOLLY-OWNED LIMITED LIABILITY COMPANY TREATED AS A DISREGARDED ENTITY OF THE FOUNDATION FOR U.S. TAX PURPOSES, AND THE ISRAELI SUBSIDIARY IS ALSO TREATED AS A DISREGARDED ENTITY OF THE FOUNDATION FOR U.S. TAX PURPOSES. IN ADDITION, IN CONNECTION WITH THE ACCOMPLISHMENT OF ITS CHARITABLE PURPOSES, THE FOUNDATION COMMENCED MAKING PROGRAM-RELATED INVESTMENTS, WITHIN THE MEANING OF SECTION 4944 OF THE INTERNAL REVENUE CODE.
