These Terms of Service ("Terms") are a legally binding agreement between you ("you," "your," or "User") and GrantDrop LLC, a Texas limited liability company ("GrantDrop," "we," "us," or "our"), with its principal place of business in Travis County, Texas, governing your access to and use of the GrantDrop website at grantdrop.com and all related services (collectively, the "Service").

By creating an account or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. This constitutes your electronic signature under the Texas Uniform Electronic Transactions Act (Tex. Bus. & Com. Code Ch. 322) and the federal E-SIGN Act (15 U.S.C. 7001 et seq.). If you do not agree, do not create an account or use the Service.

1. Service Description

GrantDrop is a software-as-a-service ("SaaS") platform that uses artificial intelligence to match nonprofit organizations with grant funding opportunities and to assist in drafting grant proposal content. The Service is designed for tax-exempt nonprofit organizations, primarily operating in the United States.

GrantDrop is a software tool that uses AI to provide informational assistance. GrantDrop is not a grant writer, grant consultant, grant professional, fundraising advisor, financial advisor, legal advisor, or any other type of professional service provider. No information or content provided through the Service constitutes professional advice. The provision of AI-Generated Content does not create any professional-client, fiduciary, or advisory relationship between GrantDrop and you. You should consult with a qualified grant professional, attorney, or financial advisor before making decisions based on information obtained through the Service.

2. Eligibility

To use the Service, you must: (a) be at least 18 years old; (b) be authorized to act on behalf of the nonprofit organization you register; (c) provide accurate, current, and complete registration information; and (d) not be barred from receiving services under applicable law.

Each nonprofit organization may maintain one active account. You are responsible for all activity under your account and for maintaining the security of your login credentials, including access to the email address used for magic link authentication.

3. AI-Generated Content

The Service uses AI technology (powered by third-party AI providers, including Anthropic) to generate grant matches, match analyses, and draft proposal content ("AI-Generated Content"). You acknowledge and agree that:

  • AI-Generated Content is a starting point, not a final product. All AI-Generated Content must be reviewed, edited, and independently verified by a person with sufficient knowledge and experience to evaluate the accuracy and suitability of the content, such as a grant writer, program officer, or professional familiar with the funder's requirements, before submission to any funder. You agree that you will not submit AI-Generated Content to any funder, government agency, or third party without first conducting your own independent review and verification of all facts, statistics, claims, and representations contained therein.
  • No guarantee of accuracy. AI-Generated Content may contain errors, inaccuracies, outdated information, or content that does not accurately reflect your organization. GrantDrop does not guarantee that any AI-Generated Content is accurate, complete, current, or suitable for any particular purpose.
  • Risk of AI fabrication. AI technology, including the models used by this Service, may generate content that appears factual but is entirely fabricated, including but not limited to statistics, citations, research findings, funder requirements, dollar amounts, organizational details, and historical claims. Such fabricated content ("hallucinations") may be presented by the AI with a high degree of apparent confidence. You must independently verify all facts, statistics, citations, and claims in any AI-Generated Content before relying on or submitting it.
  • No guarantee of funding. Use of AI-Generated Content in a grant application does not guarantee funding approval. Grant outcomes depend on many factors outside GrantDrop's control.
  • Non-uniqueness. AI may generate similar or identical content for different users. AI-Generated Content is not guaranteed to be unique to your organization.
  • Copyright status. Under current U.S. law, AI-generated content may not be eligible for copyright protection. You should consult legal counsel if copyright ownership of AI-Generated Content is important to your use case.
  • Your responsibility. You are solely responsible for reviewing, editing, and submitting any content derived from the Service. You are responsible for ensuring that any application materials you submit to funders are truthful, accurate, and compliant with the funder's requirements.
  • AI disclosure obligation. All content generated through this Service is substantially produced by artificial intelligence, not by human grant writers. GrantDrop strongly recommends that you disclose the use of AI-generated content when submitting any materials to funders, government agencies, or other third parties. Many funders, including federal agencies, require such disclosure, and failure to disclose AI use may constitute a violation of funder rules, grant conditions, or applicable law. You bear sole responsibility for determining and complying with all applicable disclosure requirements.
  • Assumption of risk and no sole reliance. You acknowledge that AI technology is inherently imperfect and that you assume the risk of using AI-Generated Content. You agree that you will not rely solely on AI-Generated Content for any purpose without independent human review and verification. Any decision to submit AI-Generated Content to a funder, government agency, or other third party is made entirely at your own risk.

GRANTDROP SHALL NOT BE LIABLE FOR ANY LOSS, DAMAGE, OR HARM ARISING FROM YOUR USE OR SUBMISSION OF AI-GENERATED CONTENT, INCLUDING BUT NOT LIMITED TO INACCURATE STATEMENTS, FABRICATED DATA, HALLUCINATED INFORMATION, OMISSIONS, OR CONTENT THAT DOES NOT COMPLY WITH FUNDER REQUIREMENTS. YOU ASSUME ALL RISK ASSOCIATED WITH THE USE OF AI-GENERATED CONTENT.

4. Data and Information Accuracy

Grant information displayed on the Service (including deadlines, funding amounts, eligibility criteria, and funder details) is sourced from publicly available data, including federal databases, foundation websites, and IRS records. This information may be incomplete, outdated, or inaccurate. GrantDrop makes no warranty regarding the accuracy, completeness, or timeliness of grant data. Deadlines, amounts, and eligibility may change without notice. You must verify all grant details directly with the funder before applying.

No reliance on deadlines. Grant deadlines displayed on the Service are sourced from third-party databases and may not reflect extensions, early closures, or changes made by funders. You must independently verify all deadlines directly with the funder before relying on them. GrantDrop shall not be liable for any loss, cost, or missed opportunity arising from your reliance on deadline information displayed on the Service.

5. Accounts and Registration

You may register for an account using a valid email address. We use passwordless authentication (magic links) and optional third-party authentication (Google Sign-In). You are responsible for maintaining access to your registered email address and for all activities that occur under your account.

You agree to provide accurate and complete registration information, including your organization's Employer Identification Number (EIN). Providing a false EIN or registering an organization you are not authorized to represent is a violation of these Terms.

In exchange for access to the Service (including the free tier), you agree to provide accurate organizational information and grant GrantDrop the license to your content described in Section 9. This exchange constitutes sufficient consideration for these Terms.

6. Subscription Plans, Billing, and Cancellation

6.1 Plans

Free Tier: Limited access including five (5) grant matches visible on the dashboard, one (1) AI-generated draft per account lifetime, and a one-time email report. Free tier does not include weekly emails, deep-dive analysis, custom focus areas, deadline alerts, or priority support. Free tier features may change at any time.

Pro Subscriptions: Pro Monthly ($39/month) and Pro Yearly ($390/year, approximately $32.50/month) provide enhanced access including unlimited match visibility, weekly email digests, deep-dive analyses, pipeline tracking, deadline alerts, and priority support. Pro Monthly includes up to 20 AI-generated drafts per calendar month. Pro Yearly includes up to 100 AI-generated drafts per calendar month. Unused drafts do not roll over between months.

6.2 Auto-Renewal

AUTOMATIC RENEWAL NOTICE: Your Pro subscription will automatically renew at the end of each billing period at the then-current rate unless you cancel before the renewal date.

  • Monthly subscriptions renew every month at $39/month.
  • Annual subscriptions renew every year at $390/year (approximately $32.50/month).
  • We will send a reminder email at least 7 days before monthly renewals and at least 30 days before annual renewals.
  • You will be charged on your renewal date unless you cancel before that date.

6.3 Cancellation

You may cancel your subscription at any time through Settings > Billing Portal on our website. When you cancel, your subscription remains active until the end of your current billing period. You will not be charged again after cancellation, and you will retain Pro access until the end of the period you have already paid for. After that, your account reverts to the free tier.

6.4 Refunds

Monthly subscriptions: Full refund within 7 calendar days of your billing date if no AI-generated drafts were created during the billing period. No refunds after 7 days or after any draft has been successfully generated (defined as AI draft content displayed to you).

Annual subscriptions: Pro-rated refund within 30 calendar days of your initial purchase or annual renewal date. The refund equals the unused portion of the annual fee calculated on a daily pro-rata basis, minus $3.00 for each AI draft generated during the subscription period. After 30 days from purchase or renewal, annual subscriptions are non-refundable.

All refund requests must be submitted to support@grantdrop.com.

6.5 Billing Details

All fees are stated in U.S. dollars. Subscriptions are billed in advance through our third-party payment processor, Stripe. By subscribing, you authorize recurring charges to your payment method. All stated prices exclude applicable taxes. Sales tax or other applicable taxes will be calculated based on your billing address and added at checkout as required by law. If your payment method is denominated in a currency other than U.S. dollars, your bank may charge conversion fees, which are your responsibility.

6.6 Failed Payments

If your payment method fails, we will attempt to charge it up to three (3) times. If all attempts fail, your subscription will be automatically downgraded to the free tier, and you will lose access to Pro features. We will notify you by email before any downgrade takes effect.

6.7 Price Changes

We may change subscription prices with at least 30 days' advance notice for monthly subscriptions and 60 days' advance notice for annual subscriptions. You will be notified by email. If you do not agree with the new price, you may cancel your subscription before the price change takes effect, and you will not be charged the new price.

6.8 Billing Disputes

If you believe you have been incorrectly charged, please contact us at support@grantdrop.com within 60 days of the charge. We will investigate and respond within 10 business days. If we determine the charge was in error, we will issue a full refund. Filing a billing dispute with us does not waive your right to dispute the charge with your bank or credit card company.

6.9 Upgrading from Free to Pro

When upgrading from the free tier to a Pro subscription, you will be directed to our payment processor to enter your payment information. By completing the checkout, you agree to the auto-renewal terms in Section 6.2 and authorize recurring charges to your payment method.

7. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or to facilitate illegal activity;
  • Submit fraudulent grant applications or misrepresent your organization's qualifications, financials, or program activities;
  • Resell, redistribute, sublicense, or commercially exploit grant data, match results, or AI-Generated Content provided through the Service;
  • Scrape, crawl, or use automated tools to extract data from the Service, or use Service data to train AI or machine learning models;
  • Attempt to circumvent usage limits, quotas, rate limits, or access controls;
  • Register multiple accounts for the same organization to circumvent free tier limits;
  • Interfere with or disrupt the Service, servers, or networks;
  • Attempt to gain unauthorized access to any part of the Service or other users' accounts;
  • Transmit malware, viruses, or any other harmful code; or
  • Use the Service to generate content that is defamatory, harassing, threatening, or that infringes on the rights of others.

8. Service Changes

We may modify, update, or discontinue features of the Service from time to time. If we make material reductions to features or quotas included in your current subscription plan, such changes will not take effect until the start of your next billing period. If the changes are material, you may cancel your subscription for a pro-rated refund of unused prepaid fees. We may also modify AI features as AI regulations evolve, in order to maintain compliance with applicable law.

9. Intellectual Property

Your Content: You retain all rights to the information you provide to GrantDrop, including your organization's mission statements, project descriptions, and other input data ("Your Content"). By using the Service, you grant GrantDrop a limited, non-exclusive license to use Your Content solely for the purpose of providing the Service to you. We do not use Your Content to train AI models.

AI-Generated Content: AI-Generated Content created through the Service is provided to you for your use in connection with your nonprofit's grant-seeking activities. You may use, modify, and submit AI-Generated Content as part of grant applications. GrantDrop does not claim ownership of AI-Generated Content created for your account.

No IP warranty for AI content. GrantDrop makes no representation or warranty that AI-Generated Content is original, non-infringing, or eligible for copyright protection. AI-Generated Content may inadvertently contain text similar to existing copyrighted works. You are responsible for ensuring that content you submit to third parties does not infringe intellectual property rights. The copyrightability of AI-generated content is an evolving area of law; GrantDrop makes no guarantee that AI-Generated Content will be eligible for copyright registration or protection.

GrantDrop Property: The Service, including its software, design, algorithms, grant database, scoring methods, text, graphics, logos, and documentation, is owned by GrantDrop or its licensors and is protected by intellectual property laws. You may not copy, modify, reverse engineer, or create derivative works of the Service. You may not use Service data to train AI or machine learning models. Nothing in these Terms grants you any right to use GrantDrop's trademarks, logos, or branding.

10. Third-Party Services

The Service integrates with third-party services including Stripe (payments), SendGrid (email), Anthropic (AI), Google (authentication), and Sentry (error monitoring). Your use of these third-party services is subject to their respective terms of service and privacy policies. GrantDrop is not responsible for the availability, accuracy, or practices of any third-party service.

AI provider disclaimer. GrantDrop uses third-party AI providers (currently Anthropic) to generate content. GrantDrop does not control, audit, or guarantee the outputs produced by these AI systems. AI providers may change their models, capabilities, or content policies at any time, which may affect the quality or accuracy of AI-Generated Content. GrantDrop shall not be liable for any deficiency, error, harmful content, or change in output quality attributable to the third-party AI provider.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

Without limiting the foregoing, GrantDrop does not warrant that: (a) the Service will be uninterrupted, secure, or error-free; (b) grant information will be accurate, complete, or current; (c) AI-Generated Content will be accurate, suitable, or free from errors or hallucinations; (d) any particular grant match or score reflects actual eligibility or likelihood of funding; or (e) defects will be corrected.

No duty of care. GrantDrop does not owe you a professional duty of care with respect to AI-Generated Content, grant data, match scores, or any other information provided through the Service. The Service is a software tool, not a professional service. GrantDrop is not acting as your grant writer, grant consultant, or advisor, and nothing in these Terms or through the use of the Service creates such a relationship.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GRANTDROP AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GRANT FUNDING, FUNDER RELATIONSHIPS, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GRANTDROP'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU PAID TO GRANTDROP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Without limiting the foregoing, GrantDrop shall not be liable for: (i) any damages arising from inaccuracies, errors, or fabrications in AI-Generated Content; (ii) any damages resulting from your reliance on grant data, match scores, or AI analyses; (iii) loss of grant funding or funding opportunities; (iv) reputational harm resulting from the submission of AI-Generated Content; or (v) any damages arising from changes to or interruptions in third-party AI services.

Nothing in this section shall be construed to limit liability that cannot be limited under applicable law, including liability under the Texas Deceptive Trade Practices Act (Tex. Bus. & Com. Code Ch. 17) to the extent such liability cannot be contractually excluded.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless GrantDrop and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your violation of these Terms; (b) any inaccuracy in information you provide to the Service; (c) your violation of any third party's rights; or (d) your use of the Service for any unlawful purpose.

Your indemnification obligations under this section shall not exceed the greater of: (i) the amounts you paid to GrantDrop in the twelve (12) months preceding the claim, or (ii) five hundred dollars ($500).

14. Termination

By You: You may cancel your subscription and delete your account at any time through the account settings page. You must cancel your subscription before deleting your account. If you delete your account without first canceling your subscription, the subscription will be automatically canceled and no refund will be issued for the current billing period. Account deletion permanently removes all associated data, including matches, drafts, and usage history.

By GrantDrop: We may suspend or terminate your account for violation of these Terms. For violations other than fraud, illegal activity, or conduct causing immediate harm, we will provide written notice via email and a fifteen (15) day cure period before termination. We may suspend access immediately if we reasonably believe immediate action is necessary to prevent harm, comply with legal requirements, or address fraud.

Refund on GrantDrop-initiated termination: If GrantDrop terminates your account without cause (i.e., not for violation of these Terms, fraud, or illegal activity), you will receive a pro-rated refund for the unused portion of any prepaid subscription fees.

Effect of Termination: Upon termination, your right to use the Service ceases immediately. Sections 3 (AI-Generated Content), 4 (Data Accuracy), 9 (Intellectual Property), 10 (Third-Party Services), 11 (Disclaimers), 12 (Limitation of Liability), 13 (Indemnification), 15 (Dispute Resolution), and 17 (General Provisions) survive termination.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles.

Informal Resolution: Before initiating any formal dispute, you agree to contact us at support@grantdrop.com and attempt to resolve the dispute informally for at least 30 days.

Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that cannot be resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. Arbitration shall take place in Travis County, Texas, or at your election, by telephone or online videoconference. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. GrantDrop will pay all AAA filing fees and arbitrator costs for claims under $10,000; for claims over $10,000, fees shall be allocated as provided by the AAA Consumer Arbitration Rules.

Opt-Out: You may opt out of this arbitration provision by sending written notice to support@grantdrop.com within 30 days of first creating your account. Your notice must include your name, email address, and a clear statement that you wish to opt out of arbitration. If you opt out, disputes will be resolved in the state or federal courts located in Travis County, Texas.

Class Action Waiver: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND GRANTDROP EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU AND GRANTDROP EACH WAIVE THE RIGHT TO A JURY TRIAL.

Small Claims Exception: Notwithstanding the above, either party may bring an individual action in small claims court in the county where you reside, provided the claim falls within the court's jurisdictional limits.

16. Modifications to Terms

We may update these Terms from time to time. If we make material changes (including changes to arbitration provisions, liability limitations, or pricing), we will notify you by email and post a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription before the effective date. For material changes, you may cancel for a pro-rated refund of any unused prepaid fees.

17. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and GrantDrop regarding the Service.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

No Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets, provided the assignee agrees to be bound by these Terms. We will notify you of any such assignment, and you may terminate your account with a pro-rated refund within 30 days of the notification.

Force Majeure: GrantDrop shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including natural disasters, acts of government, pandemic, internet or power failures, or third-party service outages.
