There was a dissolution of the Foundation during 2020 and the Foundation has no assets and has ceased to operate. The dissolution was authorized by the directors by unanimous written consent dated April 2, 2020 and a Certificate of Dissolution was filed with the Delaware Secretary of State on June 18, 2020. Copies of these documents are attached to this Form 990-PF. The directors, children of the individuals who established the Foundation, made the decision to terminate the Foundation so that they could carry out their own separate charitable programs, and distributed the Foundation's remaining assets (except for the escrow reserve described in Statement 7) to two donor advised funds to facilitate this plan. The unanimous written consent that reflects this decision serves as the Foundation's Plan of Liquidation. Both recipient donor advised funds are at the Fidelity Charitable Gift Fund, an organization described in sections 501(c)(3) and 509(a)(1) of the Internal Revenue Code. The Fidelity Charitable Gift Fund has been in existance for continuous periods of more than 60 months prior to receiving the Foundation's terminating distributions.
