IN ACCORDANCE WITH TREASURY REGULATION 1.507-6(A)(2), THIS STATEMENT IS SUBMITTED TO REPORT A SUBSTANTIAL CONTRACTION IN THE OPERATIONS OF THE NINA AND GARY WEXLER FOUNDATION, A PRIVATE FOUNDATION RECOGNIZED UNDER SECTION 501(C)(3) OF THE INTERNAL REVENUE CODE. DURING THE REPORTING PERIOD, THE FOUNDATION MADE LARGER-THAN-USUAL CHARITABLE DONATIONS TO EXTERNAL ORGANIZATIONS, RESULTING IN A TEMPORARY REDUCTION IN ITS OWN TOTAL ASSETS. ADDITIONALLY, THE FOUNDATION ANTICIPATES RECEIVING FUTURE CONTRIBUTIONS, WHICH WILL REQUIRE STRATEGIC PLANNING TO ENSURE PROPER STEWARDSHIP AND ALIGNMENT WITH ITS EXEMPT PURPOSE. THIS CONTRACTION IS NOT INDICATIVE OF TERMINATION UNDER SECTION 507(A), NOR DOES IT INVOLVE A TRANSFER OF ASSETS TO ANOTHER PRIVATE FOUNDATION. RATHER, IT REFLECTS A TRANSITIONAL PHASE IN WHICH THE FOUNDATION IS: REBALANCING ITS ASSET PORTFOLIO FOLLOWING SUBSTANTIAL OUTBOUND CHARITABLE DISTRIBUTIONS. PREPARING FOR FUTURE CONTRIBUTIONS THAT MAY SIGNIFICANTLY INCREASE ITS CAPACITY. REEVALUATING ITS LONG-TERM PHILANTHROPIC STRATEGY AND OPERATIONAL STRUCTURE. THE FOUNDATION REMAINS COMMITTED TO ITS CHARITABLE MISSION AND INTENDS TO RESUME EXPANDED ACTIVITIES ONCE ITS STRATEGIC AND FINANCIAL PLANNING IS COMPLETE.
