THROUGH RESOLUTIONS ADOPTED VIA UNANIMOUS WRITTEN CONSENT DATED MAY 22, 2024 (THE "BOARD CONSENT"), THE BOARD OF DIRECTORS OF THE ALPERT FAMILY FOUNDATION, INC. (THE "FOUNDATION") APPROVED A PLAN OF DISSOLUTION AND HENCE THE DISSOLUTION OF THE FOUNDATION, IN LIGHT OF THE FACT THAT IT NO LONGER HAD ANY ASSETS. A COPY OF THE BOARD CONSENT IS ATTACHED TO THIS STATEMENT. DURING ITS FISCAL YEAR BEGINNING DECEMBER 1, 2023, THE FOUNDATION DISTRIBUTED ITS REMAINING ASSETS OF $2,846 IN CASH TO AMERICAN FRIENDS OF SHALVA ISRAEL, INC., 315 FIFTH AVENUE, 6TH FLOOR, NEW YORK, NY 10016. IN SATISFACTION OF THE REQUIREMENTS OF SECTION 507(B)(1)(A) OF THE INTERNAL REVENUE CODE OF 1986, AS AMENDED (THE "CODE"), AMERICAN FRIENDS OF SHALVA ISRAEL, INC. IS A TAX-EXEMPT PUBLIC CHARITY DESCRIBED IN SECTION 170(B)(1)(A)(VI) OF THE CODE, AND HAD BEEN IN EXISTENCE AND SO DESCRIBED FOR A CONTINUOUS PERIOD OF AT LEAST 60 CALENDAR MONTHS IMMEDIATELY PRECEDING THE RELEVANT CASH DISTRIBUTION. THE FOUNDATION FILED A CERTIFICATE OF DISSOLUTION WITH THE NEW YORK DEPARTMENT OF STATE ON AUGUST 15, 2024 A COPY OF WHICH IS ATTACHED TO THIS STATEMENT.
