THE GLICKENHAUS FOUNDATION (THE "FOUNDATION") HAS CEASED ITS ACTIVITY AND DISTRIBUTED ITS ASSETS AND ATTRIBUTES EQUALLY TO THE NANCY GLICKENHAUS FOUNDATION (EIN: 92-1408726) AND THE MARGARET CAMERON AND JAMES M GLICKENHAUS FOUNDATION (EIN 92-1408515), (THE "SUCCESSOR FOUNDATIONS"). NANCY GLICKENHAUS AND JAMES M GLICKENHAUS ARE BOTH CHILDREN OF THE ORIGINAL SETTLOR OF THE FOUNDATION. THEY WISH TO OPERATE SEPARATELY AND DONATE TO THEIR OWN SELECTED CHARITIES AND HAVE DETERMINED THAT THE SUCCESSOR FOUNDATIONS WILL HELP THEM TO MORE EFFECTIVELY ACHIEVE THEIR CHARITABLE GOALS. EACH SUCCESSOR FOUNDATION HAS SUCCEEDED TO THE ASSETS, LIABILITIES AND OTHER ATTRIBUTES OF THE ORIGINAL FOUNDATION AND ARE OTHERWISE TAXED AS PRIVATE FOUNDATIONS RESPECTIVELY. THIS TRANSFER OF ASSETS TO THE SUCCESSOR FOUNDATIONS DOES NOT RESULT IN A TAXABLE TERMINATION OF THE FOUNDATION.
