THE TRUSTEES HAVE DECIDED TO DIVIDE THE ROBERT & ELLEN GUTENSTEIN FAMILY FOUNDATION (FOUNDATION) INTO THREE SEPARATE PRIVATE FOUNDATIONS. THIS REORGANIZATIONS INVOLVES THE CREATION OF THREE NEW PRIVATE FOUNDATIONS; THE GUTENSTEIN LEGACY FOUNDATION, GUTENSTEIN HERITAGE FOUNDATION, AND THE EZBO FOUNDATION. EACH NEW PRIVATE FOUNDATION WILL BE GOVERNED BY TRUSTEES OF THE FOUNDATION. EACH OF THE NEW PRIVATE FOUNDATIONS RECEIVED FROM THE FOUNDATION, FOR NO CONSIDERATION, A DISTRIBUTION IN AN AMOUNT EQUAL TO 33.33% OF THE FMV OF THE FOUNDATION'S ASSETS. PRIOR TO THE DISTRIBUTIONS, EACH OF THE NEW PRIVATE FOUNDATIONS RECEIVED IRS RECOGNITION AS 501(C)(3) ORGANIZATIONS AND 509(A) PRIVATE FOUNDATIONS.
