ON APRIL 24, 2024, THE TRUSTEE OF THE CUNNIFF FAMILY FUND MADE THE DECISION TO VOLUNTARILY DISSOLVE THE FOUNDATION. ACCORDING TO THE TRUST AGREEMENT, THE TRUSTEE IS AUTHORIZED TO TERMINATE THE TRUST AT ANYTIME WITHOUT FURTHER ACCOUNTABILITY TO ANYONE, PROVIDED THAT THE REMAINING PRINCIPAL OF THE TRUST AND ANY UNDISTRIBUTED INCOME SHALL BE DISTRIBUTED TO ONE OR MORE QUALIFIED CHARITABLE ORGANIZATIONS. THE TRUSTEE DETERMINED THAT DISSOLUTION IS IN THE BEST INTEREST OF THE TRUST. THE TRUST HAS NO ASSETS OR LIABILITIES. OTHER THAN THE APPROVAL OF THE ATTORNEY GENERAL, NO ADDITIONAL GOVERNMENTAL APPROVAL OF THIS PLAN IS REQUIRED. SEE ATTACHED RESOLUTION OF THE TRUSTEE TO DISSOLVE THE TRUST.
