THIS DISCLOSURE SERVES TO INFORM STAKEHOLDERS ABOUT THE DECISION OF THE SAM DAMICO FOUNDATION (THE FOUNDATION) TO TERMINATE ITS PRIVATE FOUNDATION STATUS IN ACCORDANCE WITH SECTION 507(B)(1)(A) OF THE INTERNAL REVENUE CODE. THIS DECISION HAS BEEN MADE AFTER CAREFUL CONSIDERATION OF OUR MISSION, FINANCIAL CIRCUMSTANCES, AND THE EVOLVING LANDSCAPE OF CHARITABLE GIVING. DISTRIBUTION OF ASSETS IN ACCORDANCE WITH SECTION 507(B)(1)(A), THE FOUNDATION HAS DISTRIBUTED ITS REMAINING ASSETS TO ONE OR MORE ORGANIZATION DESCRIBED IN SECTION 170(B)(1)(A) EACH OF WHICH HAS BEEN IN EXISTENCE AND SO DESCRIBED FOR A CONTINUOUS PERIOD OF AT LEAST 60 CALENDAR MONTHS IMMEDIATELY PRECEDING SUCH DISTRIBUTION.
