The Stenning is terminating its status as a private foundation pursuant to Internal Revenue Code section 507(b)(1)(A). According to section 507(b)(1) and (b)(1)(A), the status as a private foundation of any organization, with respect to which there have not been either willful repeated acts (or failures to act) or a willful and flagrant act (or failure to act) giving rise to liability for tax under chapter 42, shall be terminated if such organization distributes all of its net assets to one or more organizations described in section 170(b)(1)(A) (other than in clauses (vii) and (viii)) each of which has been in existence and so described for a continuous period of at least 60 calendar months immediately preceding such distribution. The Stenning Foundation meets these requirements as follows: On November 16, 2021, the Stenning Board of Directors adopted the attached resolution to establish a Donor Advised Fund (the Stenning DAF) at Morgan Stanley Global Impact Funding Trust (MS GIFT) honoring Richard H. Driehaus (the Richard H. Driehaus Legacy Fund). The Board of Directors also resolved to maintain the existence of The Stenning, in its corporate form, as an advisory entity to the Stenning DAF. The Stenning will own no assets and is being maintained solely to facilitate its advisory privileges pertaining to the Stenning DAF. Recipient of Assets - Morgan Stanley Global Impact Funding Trust - The Richard H. Driehaus Legacy Fund Address: 200 Westchester Avenue Purchase, NY 10577 Assets Transferred to Recipient - $1,445,000 (Cash) on May 17, 2022 $12,529 (Cash) November, 2022 Note that Taxpayer is due a refund of Federal excise tax in the amount of $7,467. When the refund is received, it will be transferred to the Morgan Stanley Global Impact Funding Trust - the Richard H. Driehaus Legacy Fund. The Morgan Stanley Global Impact Funding Trust is a charitable organization described in Internal Revenue Code section 170(b)(1) and has been in continual existence for at least 60 calendar months.
