DURING 2019, THE MAX AND BELLA STEIN FOUNDATION ("STEIN FOUNDATION") DISTRIBUTED ALL OF ITS REMAINING ASSETS TO THE MAX AND BELLA STEIN CHARITABLE TRUST (TIN: 84-6584433) ("STEIN TRUST"), WHICH IS 100% CONTROLLED BY THE SAME PERSONS WHO CONTROL THE STEIN FOUNDATION. THE MAILING ADDRESS OF THE STEIN TRUST IS THE SAME AS THE STEIN FOUNDATION. THE STEIN FOUNDATION DID NOT ADOPT ANY SPECIAL RESOLUTION IN CONNECTION WITH ITS LIQUIDATION. PURSUANT TO REV. RUL. 2002-28, THE STEIN FOUNDATION'S UNDISTRIBUTED INCOME FOR PURPOSES OF SECTION 4942 WAS ASSUMED BY THE STEIN TRUST, WHICH MADE QUALIFYING DISTRIBUTIONS IN 2019 TO SATISFY THAT DISTRIBUTION REQUIREMENT.
