This statement is submitted in accordance with Reg. 1.6043-3(a)(1) and Form 990-PF General Instruction T to report the distribution of certain assets that resulted in substantial contraction of assets during the current tax year. During 2022, the Lacy Foundation (Lacy) distributed 1/2 of the assets from sources other than current income. Such distributions represented 50% of Lacy's net assets of $3,083,038 (as measured by fair market value) as of 2/15/2022. Information regarding these distributions is as follows: The Makawee Foundation, Inc. P O Box 835 Zebulon, GA 30295 EIN 82-1861105 Assets distributed: see attached Date of Distribution: February 15, 2022 FMV of Distribution: $1,541,519 The Makawee Foundation is exempt from taxes under IRC Sec. 501(c)(3) and is a private non-operating foundation. It is not controlled (directly or indirectly) by Lacy or any disqualified persons with respect to Lacy. Lacy will not receive any form of consideration for its distribution. These distributions do not constitute a final distribution of the Lacy Foundation's assets. An Action By Unanimous Written Consent and Agreement Regarding Distribution of Assets and Future Goverance authorizing the substantial contraction were adopted by the Foundation on August 1, 2021. Copies of both are attached.
