TERMINATION OF AQUARIUS FOUNDATIONOn April 8, 2020, the Colorado property owned by Aquarius Foundation was transferred to a donor advised fund at the Southern Baptists of Texas Foundation.On December 22, 2020, the remaining balance of cash owned by Aquarius Foundation was sent to a donor advised fund at the Southern Baptists of Texas Foundation.Aquarius Foundation had $0 of assets as of December 31, 2020.Aquarius Foundation is a trust and not a nonprofit corporation, so there was no plan of liquidation or resolution approving its termination. Aquarius Foundation's termination and acts in furtherance of such termination were approved by unanimous decision by the trustees.SOUTHERN BAPTISTS OF TEXAS FOUNDATION ("SBTF") is governed by a body completely independent from AQUARIUS FOUNDATION. There are no "disqualified persons" in relation to AQUARIUS FOUNDATION who serve on SBTF's governing body, who serve as SBTF's officers, or who are SBTF employees. AQUARIUS Foundation treated this distribution as a "qualifying distribution". Per SBTF's Donor Advised Fund Policy, the contribution constituted an irrevocable gift to SBTF and no material restrictions or conditions were imposed upon the gift by AQUARIUS FOUNDATION. Per the agreement between AQUARIUS FOUNDATION and SBTF, as well as SBTF's policies, assets in the donor advised fund will only be used for distributions to organizations described in Section 170(c)(2)(B) of the Internal Revenue Code.
