EFFECTIVE AS OF NOVEMBER 26, 2022, THE BOARD OF DIRECTORS OF HARBOR FUND, INC., A MARYLAND NON-PROFIT CORPORATION (THE "CORPORATION") RESOLVED TO DISSOLVE ON OR BEFORE DECEMBER 31, 2022. THE BOARD OF DIRECTORS FURTHER RESOLVED, THAT THE OFFICERS OF THE CORPORATION (OR ANY ONE OF THEM) WERE HEREBY AUTHORIZED AND DIRECTED TO EXECUTE AND FILE ALL NECESSARY APPLICATIONS AND DO ALL OTHER THINGS DEEMED BY SUCH OFFICER OR OFFICERS TO BE NECESSARY OR DESIRABLE, INCLUDING SATISFYING ALL OUTSTANDING FEES FOR SERVICES, TO TERMINATE THE CORPORATION'S TAX-EXEMPT STATUS AND DISSOLVE THE CORPORATION (INCLUDING, BUT NOT LIMITED, TO WITHDRAWING AUTHORITY TO BUSINESS IN ANY AND ALL STATES IN WHICH THE CORPORATION IS SO REGISTERED) AND WIND-DOWN THE AFFAIRS OF THE CORPORATION. THE CORPORATION THEREFORE DISTRIBUTED ALL REMAINING ASSETS AFTER SATISFYING ALL OUTSTANDING FEES FOR SERVICES VIA GRANTS TO PUBLIC CHARITIES AND TERMINATED THE CORPORATION'S TAX-EXEMPT STATUS AND DISSOLVE THE CORPORATION AS OF DECEMBER 20, 2022.
