1- The Foundation's Board of Directors unanimously chose to dissolve on December 19, 2022. The Foundation has no assets or liabilities. The Foundation is dissolving because its Board of Directors does not have the time or the needed funds to fully carry out its mission. Health issues have arisen among certain Board Members, such that they are not able to manage the Foundation's administrative requirements, lead the remainder of the Board, nor engage in fundraising endeavors. 2- Attached is the Certificate of Dissolution, Plan of Dissolution and Board of Directors Resolution. 3- Frederick Veit, Esq., as attorney, received $5,776.52 from the Foundation's checking account (the final balance of the Foundation's assets), to be held in his escrow account, for the payment of accounting, legal and filing fees, for the dissolution of the Foundation.
