NONJUDICIAL AGREEMENT APPROVES THE TRANSFER OF ALL TRUST ASSETS WHICH PRIMARILY INCLUDE THE "DAY FARM" LOCATED IN COLUMBIA COUNTY, WA TO BMCF IN ORDER TO NOT HAVE TO SELL THE FARM. TRUSTEE ANTICIPATES THAT AT SOME POINT IN TIME IT WOULD BE NECESSARY TO SELL THE FARM IN ORDER TO GENERATE SUFFICIENT INCOME TO MAKE THE ANNUAL REQUIRED MINIMUM DISTRIBUTION. THE TRANSFER OF ALL ASSETS TO BMCF WOULD PRESERVE THE TRUST ASSETS WITHOUT HAVING TO SELL THE FARM.
