The Trust and Adams had material disagreements regarding the terms and present value of her deferred compensation from her date of hire in 2014 through 2019. In October 2020, the Trust and Adams reached a settlement to resolve the disagreements over the terms and value of the loss of the benefit of tax-deferral on deferred compensation and other possible claims that Adams might have had or brought against the Trust. Of the amount disclosed in Part VIII, Line 1, column (c) for Rukaiyah Adams, $764,000 was a payment to make Adams whole with regard to compensation that was the subject of the disagreements and $25,000 was paid to Adams to waive all other claims that Adams might have brought against the Trust through November 4, 2020.
