Exempt Status Approval was not granted until year 2024. The taxpayer had confusion as to whether the entity would be required to file a 2023 return (because of the late funding) and if so would the return be a calendar year or fiscal year return. The lawyer and the principals tax return preparer miscommunicated as to who would be responsible for filing the return (and any required extensions) as well as the due date for the initial return. As soon as the taxpayer realized the Foundation was a 2023 calendar year taxpayer (after the May 15th due date), the Initial Return is being filed. Thus, the late filing is due to reasonable cause and not the Taxpayers willful neglect.
