In June 2021, The Board of Directors of The Wing Institute unanimously approved a dissolution of the Organization. In October 2021, an amount of $3,897,919, which was sustantially all it's remaining assets, were distributed to Morningside Academy, a non-profit organization exempt from taxation under IRC 501(c)(3) and classified as a public charity pursuent to IRC 170 (B)(1)(A)(VI). Such donee organization has been in existence for more than 60 months. During the tax year, after recognizing remaining debts and liabilities, the Organizaiton transferred it's remaining assets of $40,730 (all cash) to Morningside Academy through a third party Trust, on October 31, 2021. The termination of The Wing Institute is intended to qualify as termination pursuent to IRC 507(B)(1). Attached to this return is the written consent of the Board of Directors executed June 23, 2021 as well as a Certificate of Dissolution filed with the State of California.
