Statement for Part VI-A, Line 5The Felix and Ruth Gelber Foundation (the Foundation) is a California nonprofit public benefit corporation formed on December 15, 1966. The Foundations Board of Directors and Sole Member adopted and approved a Plan of Complete Liquidation and Dissolution (the Plan) by unanimous consent dated October 16, 2021. Certified copies of the Plan and Consent are attached. Pursuant to the Plan, on or before December 31, 2021, the Foundation completed the distribution of all of its remaining assets to:Schwab Charitable Fund211 Main StreetSan Francisco, CA 94105EIN: 31-1640316The Foundation distributed to Schwab Charitable Fund marketable securities and cash with an approximate fair market value of $233,032.During its final tax year, the Foundation also set aside a reserve in an escrow account held by Holland & Knight LLP for the payment of any undetermined remaining final expenses and liabilities. The balance of the reserve not required for such expenses and liabilities of the Foundation will be distributed to Schwab Charitable Fund.The Foundation requested that all such assets distributed to Schwab Charitable Fund from the Foundation be added to a donor advised fund sponsored by Schwab Charitable Fund. Schwab Charitable Fund is a California nonprofit public benefit corporation and an organization that has been continuously in existence and described in Sections 501(c)(3) and 170(b)(1)(A)(vi) of the Internal Revenue Code for at least the past 60 calendar months immediately preceding the distribution. Thus, the Foundation has closed for tax purposes and automatically terminated its private foundation status in accordance with Section 507(b)(1)(A) of the Internal Revenue Code and therefore has checked the box in Item E and the Final Return box in Item G of the Heading section on page 1 of this Form 990-PF.
